This website is operated by Unscripted Partners Limited, a company registered in England and Wales under company number 17448398, whose registered office is at Collingwood Buildings, 38 Collingwood Street, Newcastle upon Tyne, NE1 1JF. We trade as Sarah Swaroop Consulting.

You can contact us at [email protected].

Part A applies to everyone who uses this website. Part B applies if you buy a programme, session or other service from us through the website. If your organisation engages us for consultancy or for coaching, that work is governed by the separate agreement we sign with you, and that agreement takes priority over these terms.

Part A - Using this website
A1. These terms
By using this website you accept these terms. If you do not accept them, please do not use the site. We may change these terms from time to time, and the version published here is the one that applies.

A2. The site itself
We may change, suspend or withdraw all or part of the site at any time, and we do not guarantee that it will always be available or free of errors. We are not responsible for a device or data being affected by material you download from the site, and you should use your own virus protection.

A3. How you may use the site
You may read the site and print or download extracts for your own use or to share with colleagues. You may not use anything from it for commercial purposes without our written permission, republish it, or present any part of it as your own work.

You must not misuse the site by introducing malicious code, attempting to gain unauthorised access to it, or using it in any unlawful way.

A4. Content and intellectual property
We own or are licensed to use everything published on this site, including text, images, frameworks and downloadable material. Nothing on the site transfers any of those rights to you.

The Unscripted Path is a registered UK trade mark (UK00004369257). Sarah Swaroop Consulting and OffScript are trading names of Unscripted Partners Limited.

A5. Links
Where we link to other websites, we do so because we think they may be useful. We have no control over them and take no responsibility for their content.

A6. Information on the site
The content of this site is general information about our work and our thinking. It is not advice on your particular circumstances, and it is not legal, financial, medical or therapeutic advice. If you need advice on a specific situation, speak to us or to an appropriate professional before acting.

Part B - Buying from us
B1. Who this part applies to
This part applies where you buy a programme, session, workshop or digital product directly through our website.
The cancellation rights in clause B6 apply if you are buying as a consumer - that is, wholly or mainly for purposes outside your trade, business, craft or profession. If you are buying in the course of a business, or your employer is paying, those rights do not apply and clause B7 sets out what happens instead.

B2. How the contract is formed
When you place an order you are offering to buy from us. The contract comes into existence when we send you an email confirming your place. If we cannot accept your order we will tell you and will not charge you.

We describe what is included in each programme on the relevant page of the site and in the confirmation email. Those details form part of the contract.

B3. Price and payment
Prices are in pounds sterling and are the prices shown on the site at the time you order. The total price, including any unavoidable charges, is shown before you pay. VAT applies.

Payment is taken at the time of booking unless we have agreed an instalment plan in writing. Where instalments are agreed, the full fee remains payable and each instalment falls due on the agreed date. If a payment fails we may suspend access until it is resolved.

B4. What we will do
We will provide the services with reasonable skill and care, to a professional standard, and in line with what is described on the site and in your confirmation email.
Sessions are delivered online unless we agree otherwise. We will give you joining details in advance.

B5. What we need from you
We need you to give us accurate booking information, to attend the sessions you have booked, and to tell us as early as you can if something changes. If we cannot deliver the service because of something you have not done, we may charge you for the time we have reserved.

B6. Your right to cancel - consumers
If you are a consumer, you have 14 days from the day after we confirm your order to change your mind and cancel, for any reason.
To cancel, tell us clearly before the 14 days are up. You can email [email protected], or use the form at the end of these terms. Keeping a copy of what you send is sensible.
If the service has not started, we refund everything you have paid, within 14 days of you telling us.
If you asked us to start within the 14 days, and we have started, you still have the right to cancel, but you must pay a proportionate amount for what has already been delivered. We will refund the balance within 14 days.
If you asked us to start within the 14 days and the service has been fully delivered before the period ends, you no longer have the right to cancel. We will make this clear, and ask you to acknowledge it, before we begin.
For downloadable digital content, the right to cancel is lost once the download begins, where you have agreed to that and acknowledged it at the point of purchase.
These rights are in addition to your legal rights if something we provide is not as described or is not carried out with reasonable skill and care.

B7. Cancelling after the 14 days, and business bookings
Once the cancellation period has passed, or where you are buying for business purposes, fees are non-refundable, except where we agree otherwise in writing or where clause B9 applies.
We would rather find a workable solution than hold anyone to a programme that is no longer right for them. If your circumstances change, tell us.

B8. Rescheduling and missed sessions
If you need to move a session, give us at least 24 hours notice and we will rearrange it where we reasonably can.
A session cancelled with less notice, or missed without notice, counts as delivered.
Where a programme includes a set number of sessions, they must be used within six months of the start date unless we agree otherwise.

B9. If we have to change or cancel
If we need to move a session, we will offer you an alternative time. If we have to cancel a programme altogether, we will refund everything you have paid for the part not delivered.

B10. What coaching is, and is not
Coaching is a professional conversation that supports your own reflection, decisions and action. It is not therapy, counselling, medical treatment, or legal, financial or clinical advice.
You remain responsible for your own decisions and their outcomes. Because those outcomes depend on your circumstances and on what you choose to do, we do not guarantee any particular result.
If what you need falls outside the scope of coaching, we will say so and, where we can, suggest more appropriate support.

B11. Materials
Workbooks, frameworks, recordings and other materials we give you are for your own use. You may not copy them, share them, publish them or teach from them without our written permission. We keep all intellectual property rights in them.

B12. Group programmes
Where a programme is delivered in a group, what is shared in the group stays in the group. You agree not to repeat, share or write about anything another participant says in a way that could identify them.
We may ask a participant to leave a group programme, without refund, where their conduct is making the space unsafe or unworkable for others.

B13. Complaints
If something is not right, tell us promptly at [email protected] so that we can put it right. We will acknowledge a complaint within five working days and respond substantively within 20 working days.

B14. Our responsibility to you
We do not exclude or limit our liability where it would be unlawful to do so. That includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and for breach of your legal rights in relation to the services.
Subject to that, our total liability to you in connection with a programme is limited to the fees you have paid for it.
We are not liable for business losses. If you use our services for any commercial or business purpose, we have no liability to you for loss of profit, loss of business, business interruption or loss of business opportunity.

B15. Events outside our control
If we cannot deliver the services because of something beyond our reasonable control, we will contact you as soon as possible and arrange an alternative. If the delay is substantial you may cancel and we will refund you for anything not delivered.

B16. General
We may transfer our rights and obligations under these terms to another organisation, and will tell you if we do. You may only transfer yours with our written agreement.
The contract is between you and us. No one else has any right to enforce it.
If a court finds any part of these terms unlawful, the rest continues to apply. If we do not insist that you do something, or delay in taking steps against you, that does not mean we have given up our rights.

B17. Governing law
These terms are governed by the law of England and Wales, and disputes may be brought in the courts of England and Wales. If you live in Scotland or Northern Ireland you may also bring proceedings in the courts there.
